LIABILITY PROTOCOLS

AESIR Unlimited designs, develops, and deploys autonomous AI agents and agentic workflows. Once an autonomous system is delivered and deployed by the Client, AESIR Unlimited assumes no liability for the independent decisions, actions, outputs, API calls, on-chain transactions, or any other behavior exhibited by those agents in production.

Clients are solely responsible for implementing adequate human oversight, setting operational boundaries, monitoring agent behavior, and ensuring agents operate within legal and ethical constraints. AESIR Unlimited strongly recommends staged deployment with human-in-the-loop validation before granting any autonomous system broad operational authority.

No AI system developed by AESIR Unlimited is warranted to be error-free. All AI outputs must be validated by qualified humans before being acted upon in any consequential context.

AESIR Unlimited develops smart contracts with professional care and conducts internal code reviews; however, we make no absolute guarantee that contracts are free from vulnerabilities, particularly against novel attack vectors, composability risks, or unforeseen edge cases.

AESIR Unlimited is not liable for losses from: smart contract exploits, reentrancy attacks, oracle manipulation, flash loan attacks, front-running, governance exploits, bridge failures, chain reorganizations, or any on-chain event outside the delivered contract code.

Clients are strongly advised to engage independent third-party smart contract auditors prior to mainnet deployment of any contract handling user funds. AESIR Unlimited's involvement does not substitute for a formal security audit.

Engagement with blockchain protocols, DeFi systems, and AI-integrated platforms involves substantial systemic risk. AESIR Unlimited is not liable for losses from: cryptocurrency market crashes, regulatory enforcement, protocol deprecation, liquidity crises, stablecoin depegging, or Layer 2 sequencer failures.

By engaging AESIR Unlimited's services in the Web3 space, Clients acknowledge they have independently assessed and accepted the systemic risks inherent to the technology.

All software is delivered with a limited warranty period as specified in the applicable SOW. During this period, AESIR Unlimited will remedy confirmed defects at no additional cost. After the warranty period, maintenance is subject to separate support agreements.

AESIR Unlimited does not warrant uninterrupted or error-free operation. Third-party service outages and infrastructure issues beyond our control after project delivery are not our liability.

AESIR Unlimited is not liable for losses from software defects or service outages, except to the extent caused by AESIR Unlimited's gross negligence or willful misconduct.

AESIR Unlimited implements reasonable security practices; however, we are not liable for breaches, unauthorized access, or data loss that occurs after delivery of software to the Client's environment.

Clients are responsible for securing their own infrastructure, maintaining regular backups, keeping systems updated, and engaging qualified security professionals to assess production systems.

AESIR Unlimited is not liable for failures, breaking changes, security vulnerabilities, or discontinuation of any third-party library, API, protocol, or service used in a project — including open-source libraries, blockchain node providers, AI model APIs, and cloud services.

AESIR UNLIMITED'S MAXIMUM AGGREGATE LIABILITY TO ANY CLIENT FOR ALL CLAIMS ARISING OUT OF SERVICES PROVIDED SHALL NOT EXCEED THE TOTAL FEES PAID BY THAT CLIENT IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THIS CAP APPLIES REGARDLESS OF LEGAL THEORY — WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE — AND REGARDLESS OF WHETHER AESIR UNLIMITED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Client agrees to indemnify, defend, and hold harmless AESIR Unlimited, its principals, employees, contractors, and agents from and against any claims, liabilities, damages, and expenses (including attorneys' fees) arising from: (a) Client's misuse of delivered software; (b) Client's violation of these Terms or applicable law; (c) content or data provided by Client; or (d) any product the Client offers that incorporates AESIR Unlimited's deliverables.
